OVERVIEW

This website and online store are operated under the Nehon brand by CA RUIQI INVESTMENT INC, a California corporation. In these Terms of Service, “Nehon,” “we,” “us,” and “our” refer to CA RUIQI INVESTMENT INC.

These Terms of Service, together with the policies referenced below, govern your access to and use of nehonai.com and the purchase and use of products and services offered through the website. Our store is hosted by Shopify, which provides the ecommerce platform used to offer products and services to you.

By accessing the website, creating an account, or placing an order, you agree to these Terms and our Privacy Policy at https://nehonai.com/policies/privacy-policy. If you do not agree, do not use the website or purchase through it.

SECTION 1 — ELIGIBILITY AND ACCOUNTS

You must be at least the age of majority in your state of residence to make a purchase, or use the website with the involvement and consent of a parent or legal guardian.

You agree to provide accurate, current, and complete account, billing, payment, and shipping information. You are responsible for protecting your account credentials and for activity conducted through your account. Notify us promptly at support@nehonai.com if you believe your account has been accessed without authorization.

SECTION 2 — PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to describe and display products accurately. Colors, dimensions, appearance, and packaging may vary slightly because of screen settings, manufacturing updates, or other factors that do not materially affect the product.

Product availability, features, specifications, and descriptions may change. We may discontinue a product or limit quantities when reasonably necessary. Any material change affecting an accepted order will be communicated to the customer.

Statements on the website do not replace product instructions, safety notices, or applicable manufacturer documentation. Use products according to their instructions and safety warnings.

SECTION 3 — AI, RECORDING, AND CONNECTED FEATURES

Some Nehon products may include recording, transcription, artificial intelligence, voice-assistant, connected-app, or cloud-based features. Availability and performance may depend on compatible devices, internet access, third-party services, software versions, language, region, and account settings.

AI-generated or automated output may contain errors and should be reviewed before reliance. It is not a substitute for professional medical, legal, financial, emergency, or safety advice.

You are responsible for using recording and communication features lawfully, including obtaining any notice or consent required before recording, storing, sharing, or processing another person's voice, image, conversation, or personal information. You must not use a product or service to violate privacy, intellectual property, surveillance, or other applicable laws.

SECTION 4 — ORDERS AND ACCEPTANCE

Submitting an order is an offer to purchase. An automated order acknowledgment does not necessarily mean that we have accepted the order. We may verify payment, inventory, shipping information, and suspected fraud before acceptance or fulfillment.

We may decline or cancel an order for legitimate reasons, including product unavailability, pricing or description errors, payment failure, suspected fraud, shipping restrictions, or violation of these Terms. If we cancel an order after collecting payment, we will issue a refund consistent with applicable law.

Purchases through nehonai.com are intended for personal or household use unless we agree otherwise in writing. You may not purchase products for unauthorized resale or export.

SECTION 5 — CANCELLATIONS, RETURNS, AND REFUNDS

You may request to cancel an order at any time before it ships by contacting support@nehonai.com. We will make reasonable efforts to process the request. Once an order has shipped, it can no longer be canceled and our Return and Refund Policy applies after delivery.

Returns, exchanges, refund eligibility, return shipping costs, and refund timing are governed by our Return and Refund Policy at https://nehonai.com/policies/refund-policy. That policy currently provides a 14-calendar-day return request window for eligible products purchased directly from nehonai.com.

Nothing in these Terms or our policies limits rights that cannot legally be excluded.

SECTION 6 — PRICES, PAYMENT, AND TAXES

The price charged is the price shown at checkout when the order is placed, subject to correction of an obvious error before fulfillment. Applicable shipping charges, discounts, and sales taxes will be displayed at checkout before payment.

Prices, promotions, and availability may change without notice for future orders. Promotional terms may contain additional conditions. If promotional terms conflict with these Terms for a specific promotion, the promotional terms govern that promotion.

You represent that you are authorized to use the payment method submitted and authorize us and our payment processors to charge the amounts shown at checkout.

SECTION 7 — SHIPPING AND DELIVERY

Shipping destinations, processing times, rates, tracking, delays, lost-package procedures, and delivery estimates are governed by our Shipping Policy at https://nehonai.com/policies/shipping-policy.

Nehon currently ships through nehonai.com only to eligible addresses within the United States. In-stock orders are normally processed within 1–2 business days after payment and order information are verified. Carrier transit estimates begin after shipment.

Orders may be canceled before shipment. If we cannot ship within the timeframe promised at the time of purchase, we will provide the delay information and cancellation options required by applicable law.

Responsibility for loss or damage remains with Nehon until the package is delivered to the shipping address provided with the order, except where otherwise required by applicable law. Delivery dates are estimates and may be affected by carrier operations, weather, holidays, remote destinations, or events outside our reasonable control.

SECTION 8 — DIGITAL SERVICES AND SUBSCRIPTIONS

If we offer a subscription, paid software feature, digital service, or usage plan, its price, billing interval, renewal terms, cancellation method, and material limitations will be disclosed before purchase. Recurring charges will be made only after the customer has agreed to the disclosed recurring terms.

Unless a product page or separate service terms state otherwise, purchasing a physical product does not guarantee that every third-party, cloud-based, or AI feature will remain available indefinitely. Changes will not limit any rights or remedies required by law.

SECTION 9 — INTELLECTUAL PROPERTY

The website and its original text, graphics, designs, videos, photographs, logos, and other content are owned by or licensed to Nehon and are protected by applicable intellectual property laws.

We grant you a limited, revocable, nonexclusive right to access and use the website for personal, noncommercial shopping and product-support purposes. You may not reproduce, distribute, modify, sell, scrape, or commercially exploit website content without permission, except as allowed by law.

Nehon, Shopify, and third-party names and marks remain the property of their respective owners. No license to use a trademark is granted except as necessary to identify the applicable product or service.

SECTION 10 — THIRD-PARTY SERVICES AND LINKS

The website or products may use or link to services provided by third parties, including payment processors, carriers, mobile applications, cloud providers, and AI service providers. Third-party services may be governed by their own terms and privacy policies.

We are not responsible for a third party's independent acts, omissions, content, or services, except to the extent responsibility cannot legally be excluded. Contact the applicable third party regarding a transaction made directly with that third party.

SECTION 11 — RELATIONSHIP WITH SHOPIFY

Nehon is powered by Shopify, which enables us to provide the ecommerce services. However, purchases made in our store are transactions directly between you and Nehon. Shopify is not the seller of Nehon products and is not responsible for the fulfillment, quality, safety, or legality of products sold by Nehon, except to the extent Shopify separately states otherwise or applicable law requires.

SECTION 12 — PRIVACY

Our collection and use of personal information are described in our Privacy Policy at https://nehonai.com/policies/privacy-policy. Shopify may also process information as described in its applicable privacy notices.

Information may be processed by service providers in locations outside your state or country as necessary to provide the website, fulfill orders, prevent fraud, provide customer support, or operate connected features, subject to applicable privacy law.

SECTION 13 — REVIEWS, FEEDBACK, AND USER CONTENT

If you voluntarily submit a review, suggestion, image, video, or other content, you confirm that you have the necessary rights to submit it and that it is accurate, lawful, and does not violate another person's rights.

You grant Nehon a nonexclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, and display that content for operating, improving, and promoting our business and services, subject to our Privacy Policy and applicable law. This license does not transfer ownership of your content to Nehon.

We may remove content that is unlawful, fraudulent, abusive, misleading, infringing, or otherwise violates these Terms. If a review was provided in connection with compensation, a discount, or another incentive, that relationship must be clearly disclosed.

SECTION 14 — PROHIBITED USES

You may not use the website, products, accounts, or services to violate law; infringe intellectual property or privacy rights; harass or harm others; distribute malware; commit fraud; interfere with security; bypass access controls; collect personal information without authority; send spam; impersonate another person; or conduct unauthorized scraping or automated access.

You may not use recording, camera, audio, or AI features for unlawful surveillance, deception, discrimination, harassment, or any purpose that violates required consent or notice laws.

We may reasonably restrict automated access, including access by bots or autonomous agents, when needed to protect customers, security, availability, or legal compliance.

SECTION 15 — ERRORS AND CORRECTIONS

We may correct typographical errors, inaccurate product information, pricing errors, shipping information, or availability information. If a material correction affects an order after submission, we will notify the customer and provide any cancellation or refund option required by law.

SECTION 16 — SUSPENSION AND TERMINATION

We may suspend or terminate website or account access when we reasonably believe a user has violated these Terms, created a security risk, engaged in fraud or unlawful conduct, or harmed other users or the Services.

Termination of website access does not remove payment, refund, warranty, privacy, or other rights and obligations that arose before termination or that must survive by their nature.

SECTION 17 — WARRANTIES

Our website and non-product online services are provided on an “as available” basis to the extent permitted by law. We do not guarantee that website access will always be uninterrupted, error-free, or compatible with every device.

Products remain subject to our Return and Refund Policy, any applicable written limited warranty made available before purchase, manufacturer warranties that apply, and all express or implied warranties and consumer rights that cannot legally be excluded or limited.

Nothing in these Terms disclaims the implied warranty of merchantability or any other warranty that Nehon is prohibited from disclaiming under federal or state law.

SECTION 18 — LIMITATION OF LIABILITY

To the fullest extent permitted by law, Nehon and its officers, employees, affiliates, agents, contractors, and service providers will not be liable for indirect, incidental, special, punitive, or consequential damages arising from use of the website or services when such damages were not reasonably foreseeable.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, personal injury or property damage caused by a defective product, breach of an applicable warranty, violation of privacy rights, or any liability or remedy that cannot legally be excluded or limited.

Where liability may lawfully be limited, Nehon's aggregate liability relating to a purchase will not exceed the amount paid for the product or service giving rise to the claim. This limitation does not reduce any refund, replacement, repair, statutory damages, or other remedy required by applicable law.

SECTION 19 — INDEMNIFICATION

To the extent permitted by law, you agree to indemnify Nehon against third-party claims resulting directly from your intentional unlawful use of the website or products, your material breach of these Terms, or your violation of another person's rights. This obligation does not apply to claims caused by Nehon, a product defect, or conduct for which indemnification cannot legally be required.

SECTION 20 — GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles.

Except where consumer law permits or requires a different forum, disputes may be brought in the state courts located in Orange County, California, or the applicable federal court in the Central District of California. Nothing in this section prevents either party from bringing an eligible matter in small claims court or exercising a right to file a complaint with a government agency.

These Terms do not require mandatory arbitration and do not waive any right to participate in a class action where that right exists under applicable law.

SECTION 21 — SEVERABILITY AND WAIVER

If any provision is found unlawful or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver of the right to enforce it later.

SECTION 22 — ENTIRE AGREEMENT

These Terms and the policies incorporated by reference form the agreement governing use of the website and purchases through it, except for additional terms expressly presented for a particular product, service, promotion, or subscription.

SECTION 23 — ASSIGNMENT

You may not transfer your account or your obligations under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the Nehon business, subject to applicable law and continued protection of consumer rights.

SECTION 24 — CHANGES TO THESE TERMS

We may update these Terms by posting a revised version with a new effective date. Material changes will apply prospectively and will be communicated when required by law. Changes will not retroactively reduce rights relating to an order already accepted unless permitted by law and agreed by the customer where required.
